Acceptance of Terms
By placing an order with Lumora (“we”, “us”, “our”), you (“Client”) agree to these Terms & Conditions (“Terms”). If there is any conflict, a signed contract or quotation/proforma invoice prevails.
Scope & Eligibility
These Terms apply to wholesale, bulk, and custom-made products (including branded or personalized items). We primarily serve business customers (B2B). By ordering, you confirm you are authorized to act on behalf of your organization.
Quotations, Pricing & Validity
- Prices in quotations/proforma invoices are based on specifications, quantities, and Incoterms requested, and are typically valid for 15 calendar days unless stated otherwise.
- Prices exclude taxes, duties, import charges, brokerage, or other local fees unless explicitly included.
- We may correct typographical or calculation errors.
Orders, MOQ & Samples
- MOQ: Minimum order quantity applies and may vary by model/material.
- Samples: Paid samples may be provided. Sample color/material may differ slightly from mass production due to process tolerances.
- Specs Confirmation: Client must confirm all specifications (capacity, color, finish, accessories, packaging) in writing before production.
Artwork, Branding & Proofs
- Client provides print-ready artwork (e.g., vector logo). Digital mockups/proofs can be prepared on request.
- Client verifies and approves proofs (logo placement, spelling, Pantone references, etc.) prior to production.
- Minor color/position deviations within industry tolerance are not defects.
Payment Terms
- Flexible options available upon request. Payment arrangements depend on Client needs, location, and order size.
- Common practice for production orders: 30% deposit to start, 70% balance before shipment (unless otherwise agreed).
- All payments must clear in our account before production or dispatch timelines commence.
- Bank charges, gateway fees, and FX differences are borne by the Client unless otherwise stated.
Lead Time & Changes
- Lead time starts upon receipt of deposit (or full payment for small orders) and final approval of all specifications/proofs.
- Any change after confirmation may affect pricing and lead time; additional charges may apply.
Shipping, Risk & Incoterms
- Shipping terms follow the agreed Incoterms® 2020 (e.g., EXW / FOB / CIF / DAP / DDP) as indicated on the quotation or invoice.
- Risk transfers according to the selected Incoterm (e.g., to carrier under FOB).
- Transit times are estimates and may be affected by customs, weather, or carrier factors beyond our control.
- Client shall provide accurate consignee details and comply with import requirements at destination.
Taxes, Duties & Customs
Unless agreed otherwise (e.g., DDP), Client is responsible for all applicable taxes, duties, VAT/GST, brokerage, and customs-related charges in the destination country.
Inspection, Acceptance & Claims
- Client inspects goods upon receipt and notifies us of any shortage or visible damage within 5 calendar days.
- For hidden defects, notify within a reasonable time after discovery, not exceeding 30 calendar days from delivery unless a separate warranty applies.
- Failure to notify within the above periods constitutes acceptance.
Returns, Replacements & Refunds
- Customized/branded products are non-returnable except for confirmed manufacturing defects attributable to us.
- Upon verification, we may offer repair, replacement, or partial credit at our discretion; Client cooperates with evidence and return authorization where needed.
- Minor variations consistent with industry tolerances are not defects.
Lifetime Warranty
All Lumora custom USB flash drives are warranted against defects in materials and workmanship under normal use for the lifetime of the product. At our sole discretion, returned products found defective will be repaired or replaced.
Scope & Process: Where possible, repairs will be performed; in most cases limited to replacement of electronic components. Exact duplication of client-specific logos, names, or images on repaired/replacement units may not always be possible, but we will make best efforts to match the original look and finish. Contact us (WhatsApp/email) with order number, issue description, and photos/videos to receive RMA instructions.
Data Disclaimer: No warranty applies to any data stored on the drive (preloaded or added by end users). Please back up your data.
Exclusions: Normal wear and tear, misuse, accidents, unauthorized modification, improper storage, cosmetic variances within industry tolerance, and damage caused by third-party accessories or improper power sources are not covered.
Limitation of Liability: To the maximum extent permitted by law, Lumora is not liable for indirect, incidental, special, or consequential damages (including data loss or lost profits). Our aggregate liability shall not exceed the amount actually paid for the goods at issue.
Intellectual Property & License
- Client warrants supplied logos, trademarks, artworks, or materials do not infringe third-party rights and grants us a non-exclusive, royalty-free license to use them solely to fulfill the order.
- All product designs, photos, website content, and tooling created by us remain our intellectual property unless otherwise agreed.
Compliance, Sanctions & Export Control
Client represents that orders will not be used for unlawful purposes and agrees to comply with applicable export control, sanctions, and anti-bribery/anti-money-laundering laws. We may decline or cancel orders where compliance risks are identified.
Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to an order shall not exceed the amount actually paid by Client for the specific goods giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages (including lost profits, business interruption, or loss of data).
Force Majeure
We are not liable for delays or non-performance due to events beyond reasonable control, including but not limited to natural disasters, epidemics, war, strikes, transport disruption, or governmental actions. Timelines extend accordingly.
Confidentiality & Data Protection
Each party shall keep confidential the other party’s non-public information obtained in the course of business. Personal data, if any, will be handled in accordance with our Privacy Policy.
Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by the laws of [Insert: England & Wales / Singapore / Hong Kong / other].
- Good-Faith Negotiation: Parties shall first attempt to resolve disputes amicably within 30 days.
- Jurisdiction / Arbitration: If unresolved, disputes shall be submitted to the courts of [Insert Venue] or, if agreed, to arbitration under [Insert Rules: SIAC/LCIA/ICC] with the seat in [City], proceedings in English.
Changes to Terms
We may revise these Terms from time to time. The updated version will be posted on this page and is effective upon posting. Continued orders after updates constitute acceptance.
Miscellaneous
- Severability: If any provision is held invalid, the remaining provisions remain in full force.
- No Waiver: Our failure to enforce any provision is not a waiver of our rights.
- Entire Agreement: These Terms, together with the quotation/invoice and any written agreements, constitute the entire agreement between the parties.
- Language: These Terms are drafted in English and shall prevail.
